财务审计服务采购公告

联合能源达克鞳电力有限公司（以下简称“采购人”或“达克鞳公司”） 是一家在缅甸联邦共和国注册的公司，由云南省能源集团联合缅方合作伙伴共同投资设立。公司主要负责缅甸仰光达克鞳（Thaketa）燃气蒸汽联合循环电厂的建设、运营管理，公司致力于为缅甸仰光地区提供稳定、可靠的电力供应，并严格遵守缅甸相关法律法规，按照高标准规范公司治理。

现开展缅甸2025/2026财年财务年报审计服务机构选聘工作，本次采购以公开询比的方式开展，具体事项如下：

一、项目概况

（一）项目名称：联合能源达克鞳电力有限公司2025/2026财年财务审计服务采购项目

（二）采购范围：采购达克鞳公司缅甸2025/2026财年财务年报审计服务机构，服务内容为：根据缅甸审计准则（Myanmar Standards on Auditing, MSA）以及相关适用标准，对达克鞳公司依照缅甸财务报告准则（Myanmar Financial Reporting Standard, MFRS）编制的2025/2026年度财务报告进行审计，出具审计报告；以独立审计师身份出席达克鞳公司年度股东大会，向股东代表汇报审计总体情况；对董事、股东、缅甸公司注册管理局、缅甸投资委员会、缅甸总审计署关注的审计事项进行回应（如有）。具体需求详见询比采购文件第五章“技术标准和服务需求”。

（三）服务期限：服务期限自审计业务约定书签订之日起至缅甸财年审计工作完成，包括：审计报告出具、会议出席及后续汇报与回应事宜全部完成为止。

（四）项目地点：缅甸联邦共和国仰光省市区（达克鞳公司办公地）、内比都联邦区（董事会、股东会召开地），以及达克鞳公司指定的缅甸境内其他地点。

（五）项目预算：缅币6500万元。各供应商的询比报价不得高于采购预算，否则按不响应询比采购文件处理。

（六）资金来源：资金来源为自筹，资金已落实。

（七）关系终止与责任免除：根据缅甸总审计署相关规定，本公司选聘的外部审计师，须经公司董事会决议任命，层报缅甸总审计署审批同意后，方可签署审计业务约定书并开展审计工作。本次询比采购确认的成交人，若最终未能通过以上决议任命或审批，则双方本次关系终止，采购人不承担成交人参与本采购项目报价、配合办理报送任命或审批程序、开展审计准备等工作发生的任何费用或损失，成交人亦不承担采购人组织本采购项目、办理报送任命或审批程序、配合开展审计准备等工作而发生的任何费用或损失。

二、申请人资质要求

（一）资质要求：报价申请人必须为缅甸联邦共和国境内采取以下任意一种组织形式注册成立的、具备缅甸会计理事会（Myanmar Accounting Council）颁发的有效审计执业许可证（Certificate of Audit Firm Name Registration）或等效证明的审计所，具有独立订立合同的资格：个人独资企业、合伙企业、公司。若采用公司形式的，须同时具有缅甸公司注册管理局（Directorate of Investment and Company Registration, DICA）颁发的有效公司注册证书（Certificate of Incorporation and Registration）或等效证明。

（二）业绩要求：报价申请人应具备审计项目经验，最近三年内承接过至少三个缅甸联邦共和国境内法定财务年报审计服务项目，提供审计业务约定书或业主验收证明或审计工作成果等有效证明材料（证明材料无需提供全部页面但应能清晰反映项目内容及时间），否则不予认可。

（三）人员要求：报价申请人针对本项目拟派项目负责人应是在缅甸主管部门登记备案的出资人或合伙人或股东，具备缅甸会计理事会（Myanmar Accounting Council）颁发的缅甸注册会计师执业资格证书（Certificate of Professional Accountant in Public Practice），具有不少于3年的注册会计师执业经验（以业绩证明材料或历年签订劳动合同或注册会计师执业资格证书年检记录为准，包括个人在不同公司的审计执业经验），具备承揽本项目所需的专业胜任能力。

（四）信誉要求：报价申请人信誉良好，没有处于被责令停业、财产被接管、冻结，破产状态；近三年在经营活动中没有重大违法记录，在承办财务审计工作中未出现重大质量问题；近三年不存在骗取中标、无故放弃中标、严重违约的情形，没有处于被所在地政府或国家部委禁止市场准入等情形。（提供书面承诺）

（五）信息安全要求：报价申请人应当对执行审计工作过程中知悉的公司财务信息、发展战略、经营决策、企业管理、商业机密等予以严格保密，未经公司书面同意，不得提供给任何第三方。按法律法规接受监管机构执业质量监督检查、司法调查取证等履行法定义务除外。（提供书面承诺）

（六）其他要求：报价申请人提供的相关服务不得构成对任何第三方的专利、版权、商标权、商业秘密等知识产权或其他财产权利的侵犯；单位负责人为同一人或者存在控股、管理关系的不同单位，不得同时参加本次询比采购；相互间存在直接控股关系或间接控股关系或管理关系的两个及两个以上的公司，都不得同时参与本次询比采购；报价申请人成交后，在协议约定服务期限内，未经采购人书面许可，不得承接与采购人存在利害关系的其他单位的咨询、管理、审计类委托。（提供书面承诺）

（七）联合体要求：本项目不接受联合体参与。

三、报价要求

报价为含税包干价，包含为完成该项目所需发生的所有费用（包括且不限于成本、利润、税金、差旅费用等用以完成本项目需要支出所有费用），以缅币进行报价。报价申请人应充分考虑执行本项目的所有成本、利润及风险后进行报价，尤其是物价变动、币值波动、与公司股东及缅甸监管部门后续持续沟通等因素，价格一经报出不予调整，不再进行二次报价，成交后不得以任何理由增加费用。

四、采购文件的获取

采购文件随公告在“***平台”发布，不再另行线下提供纸质采购文件，凡有意参与者可在本公告期内自行查看和下载（http://****.cn），并于2026年9月16日17时00分（内比都时间）前以电子邮件形式确认是否参加本次采购活动（确认函格式见公告附件），需将盖章后的确认函扫描件发送至联合能源达克鞳电力有限公司电子邮箱ue****@****.com，并抄送或单独发送至清廉监督员邮箱wa****@****.com。在本公告规定的时间内未按上述要求发送电子邮件至指定邮箱者，不得参加本项目报价。

五、报价文件的递交

（一）语言要求：报价申请人可选择全部使用英文，或全部使用中缅双语对照编制报价文件，但不得部分选择英文、部分选择中缅双语；若出现中缅双语内容不一致，不一致部分的内容视同无效；由缅甸官方颁发的注册文件、资质证书，以及与其他第三方相关的业绩证明材料等，其所记载使用的原始文字与报价申请人编制报价文件所选用文字不同的，直接提供，无需翻译。

（二）文件要求：报价文件按以上第四条要求，建议用A4幅面出版，报价材料要求逐页标注连续页码、逐页加盖公章。

（三）报价文件递交的截止时间为：2026年9月18日16时00分（内比都时间）。递交方式：通过电子邮件递交签字盖章齐全的PDF格式扫描件至ue****@****.com，并抄送或单独发送至清廉监督员邮箱wa****@****.com。逾期送达的或者未送达指定邮箱的报价文件，采购人不予受理。联系人：龚老师（Hnin Hnin Aye），联系电话：+95 9455004866。

REQUEST FOR QUOTATIONS （RFQ）ANNOUNCEMENT

FINANCIAL STATEMENTS AUDITING SERVICES

(FY 2025/2026)

U Energy Thaketa Power Company Limited (hereinafter referred to as the "Purchaser" or "U ENERGY"), a company incorporated under the laws of the Republic of the Union of Myanmar, is a joint venture investment between Yunnan Energy Investment Group and its Myanmar partners. U ENERGY is primarily responsible for the construction, operation, and management of the Thaketa Combined Cycle Gas Turbine (CCGT) Power Plant in Yangon, Myanmar. The company is committed to supplying stable and reliable electricity to the Yangon region while strictly complying with the applicable laws and regulations of Myanmar and maintaining high standards of corporate governance.

The Purchaser is now initiating a procurement process to engage an external independent audit firm to perform the statutory financial statements audit for FY 2025/2026. This procurement is being conducted through a public Request for Quotations (RFQ) process.

1. Project Overview

1.1 Project Name

Procurement of Financial Statements Auditing Services for FY 2025/2026 of U Energy Thaketa Power Company Limited.

1.2 Scope of Service

Engagement of an external audit firm to perform the statutory financial statements audit for U ENERGY for the fiscal year 2025/2026. The scope of services includes:

1.2.1 Conducting an audit of the financial statements of U ENERGY prepared in accordance with the Myanmar Financial Reporting Standards (MFRS), complying with Myanmar Standards on Auditing (MSA) and other applicable audit standards, and issuing an independent Auditor’s Report.

Attending U ENERGY’s Annual General Meeting (AGM) of shareholders in the capacity of Independent Auditor to report on the overall audit findings to shareholder representatives.

Addressing inquiries or matters of audit focus raised by the Board of Directors, shareholders, the Directorate of Investment and Company Registration (DICA), the Myanmar Investment Commission (MIC), and the Office of the Auditor General of the Union (OAG) (if any).

Detailed requirements are set forth in Section V: Terms of Reference (TOR) & Service Requirements.

1.3 Period of Engagement

The engagement period shall commence from the execution date of the Audit Engagement Letter and remain in effect until the completion of all audit services for the fiscal year, including the issuance of the Auditor’s Report, attendance at designated meetings, and completion of all subsequent reporting and inquiry responses.

1.4 Location of Performance

Thaketa Township, Yangon Region (U ENERGY Office premises), Naypyidaw Union Territory (Board of Directors and Shareholders Meeting venues), and other designated locations within the Republic of the Union of Myanmar.

1.5 Maximum Allowable Budget

MMK 65,000,000 (Sixty-Five Million Myanmar Kyats). Any quotation exceeding this ceiling price will be deemed non-responsive and rejected.

1.6 Source of Funds

Self-funded / Corporate internal funds (fully secured).

1.7 Conditional Termination and Limitation of Liability

In accordance with the regulations of the Office of the Auditor General of the Union (OAG) of Myanmar, the appointment of the external auditor must be resolved by the Purchaser's Board of Directors and submitted for formal approval by the OAG prior to the execution of the Audit Engagement Letter and commencement of field work.

If the supplier selected through this RFQ process fails to obtain the requisite Board appointment or OAG approval:

The relationship and selection under this RFQ process shall automatically terminate.

The Purchaser shall not be liable for any costs, fees, expenses, or losses incurred by the Selected Supplier in connection with quotation preparation, assistance with appointment/approval filings, or preliminary audit work.

The Selected Supplier shall likewise not hold the Purchaser liable for any costs or expenses associated with organizing this procurement process or facilitating regulatory filings.

2. Supplier Qualification Requirements

2.1 Legal & Regulatory Eligibility

The Supplier must be an audit firm legally established and registered in the Republic of the Union of Myanmar operating under one of the following legal structures: Sole Proprietorship, Partnership, or Company.

The Supplier must hold a valid Certificate of Audit Firm Name Registration issued by the Myanmar Accounting Council (MAC) (or equivalent statutory credential) demonstrating full legal capacity to enter into contracts.

If organized as a company, the Supplier must also hold a valid Certificate of Incorporation and Registration issued by the Directorate of Investment and Company Registration (DICA).

2.2 Relevant Experience

The Supplier must demonstrate proven track record in financial audit engagements by having successfully completed at least three (3) statutory annual financial statements audit engagements for entities within the Republic of the Union of Myanmar within the last three (3) years.

Verification: Valid supporting documents must be provided (e.g., copies of engagement letters, client acceptance/completion certificates, or audit deliverables). Full document pages are not required provided the project scope, client context, and engagement dates are clearly legible.

2.3 Key Personnel Requirements

The proposed Project Leader (Engagement Partner) must be a registered owner, partner, or shareholder filed with Myanmar regulatory authorities and hold a valid Certificate of Professional Accountant in Public Practice issued by the Myanmar Accounting Council (MAC).

The Project Leader must possess no less than three (3) years of post-qualification experience as a Certified Public Accountant (CPA).

Verification: Experience must be substantiated by project reference documents, employment contracts, or CPA license annual renewal records (inclusive of audit practice experience across different firms).

2.4 Integrity & Soundness (Statutory Declaration)

The Supplier must be of good professional standing and financial soundness, and not be subject to any order for suspension of business, receivership, asset freezing, liquidation, or bankruptcy proceedings.

No record of material legal violations or major professional audit quality failures within the past three (3) years.

No record of fraudulent bidding, unjustified withdrawal of awarded tenders, material breach of contract, or market debarment by government authorities within the past three (3) years. (Written commitment required).

2.5 Information Security & Confidentiality

The Supplier shall maintain strict confidentiality regarding all financial data, strategic plans, operational decisions, corporate management practices, and commercial secrets of the Purchaser acquired during the audit engagement. Such information shall not be disclosed to any third party without prior written consent from the Purchaser, except where required by law for regulatory quality reviews or judicial investigations. (Written commitment required).

2.6 Conflict of Interest & Proprietary Rights

The services provided by the Supplier must not infringe upon the patents, copyrights, trademarks, trade secrets, or other intellectual property or proprietary rights of any third party.

Entities with the same legal representative, or entities holding direct/indirect controlling interests or management relationships with one another, are prohibited from participating concurrently in this RFQ.

Upon award, during the agreed service period, the Supplier shall not accept advisory, management, or audit engagements from any third party having a direct conflict of interest with the Purchaser without prior written consent. (Written commitment required).

2.7 Consortiums / Joint Ventures

Quotation must be submitted by a single entity only. Consortiums/ Joint ventures, or sub-contracting arrangements are not permitted.

3. Price Quotation Guidelines

Quotations must be submitted on a Lump-Sum All-Inclusive Tax-Inclusive Basis in Myanmar Kyat (MMK).

The quoted price shall encompass all operational costs, professional fees, profits, applicable taxes, travel expenses, out-of-pocket expenses, and any other disbursements necessary for the full completion of the scope of work.

Suppliers must fully account for all cost contingencies, inflation, currency fluctuations, and ongoing communication expenses with corporate shareholders and Myanmar regulatory authorities.

Once submitted, prices are final and fixed. No post-submission price adjustments or Best and Final Offer (BAFO) revisions will be permitted, and no additional fees may be claimed post-award under any circumstances.

4. Acquisition of RFQ Documents

The RFQ documents are published alongside this notice on the Yunnan Energy Investment Group Procurement Platform (http://****.cn No physical paper documents will be distributed offline.

Prospective suppliers may view and download the documents directly. Suppliers must confirm their participation by sending a scanned, stamped Confirmation of Participation Letter (template attached) via email to ue****@****.com, and CC or send a separate copy to the Compliance Supervisor at wa****@****.com, no later than 17:00 on 16th September 2026 (Naypyidaw Time). Suppliers failing to submit the confirmation email within the specified deadline will be ineligible to participate.

5. Submission of Quotations

5.1 Language Requirements

Quotations must be prepared entirely in English OR entirely in bilingual Chinese-Myanmar format. Partial English and partial bilingual submissions are prohibited. In case of any conflict or inconsistency in bilingual submissions, the inconsistent portion shall be deemed void.

Official statutory registration certificates issued by Myanmar government authorities or third-party project reference credentials may be submitted in their original language without translation.

5.2 Document Formatting

Quotations are preferred to be presented in standard A4 layout. Submissions must feature continuous page numbering on every page and be stamped with the Supplier’s official seal on every page.

5.3 Submission Deadline & Mode

Deadline: 16:00 on 18th September 2026 (Naypyidaw Time).

Mode of Submission: PDF scanned copy featuring complete signatures and official stamps, submitted via email to ue****@****.com, and CC or send a separate copy to the Compliance Supervisor at wa****@****.com.

Late submissions or proposals sent to alternative email addresses will be rejected.

6. Miscellaneous
